TERMS OF SERVICE

1. Acceptance

By accessing or using StatutoryRegistry.com ("the Service"), operated by NextGenRails™, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

The Service provides cryptographic receipt issuance for statutory compliance documents. Documents submitted are processed to generate a SHA-384 hashed, Merkle-committed, RS256 signed JSON Web Signature (JWS) receipt. The Service operates on a zero-retention basis — no submitted document data is stored after receipt generation.

3. Zero Retention Policy

NextGenRails™ does not store, log, or retain any submitted document content. Only the cryptographic proof of the document's state (the receipt) is generated and returned to the user. Users are solely responsible for retaining their documents and issued receipts.

4. Access Codes

Access codes are issued upon payment and are valid for a fixed number of receipt generations as specified at the time of purchase. Access codes are non-transferable and non-refundable once used. Lost access codes cannot be recovered.

5. No Legal Advice

The Service provides cryptographic proof of document state at a point in time. It does not constitute legal advice, legal certification, or regulatory approval. Users are responsible for ensuring their compliance obligations are met through appropriate legal and regulatory channels.

6. Payments and Refunds

All payments are processed by Stripe. Standard packs are one-time purchases. Professional plans are billed monthly. Refunds are not available for used access codes. Unused access codes may be refunded within 7 days of purchase by contacting ngr.admin@proton.me.

7. Acceptable Use

The Service may not be used for any unlawful purpose, to submit documents containing malicious content, or to attempt to reverse-engineer or exploit the cryptographic infrastructure. NextGenRails™ reserves the right to revoke access without refund for violations of these terms.

8. Disclaimer of Warranties

The Service is provided "as is" without warranty of any kind. NextGenRails™ does not warrant that the Service will be uninterrupted, error-free, or that receipts will be accepted by any regulatory authority.

9. Limitation of Liability

NextGenRails™ shall not be liable for any indirect, incidental, or consequential damages arising from use of the Service. Total liability shall not exceed the amount paid for the Service in the preceding 12 months.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

11. Indemnification

You agree to indemnify, defend, and hold harmless NextGenRails™ from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from: (a) any document or content you submit to the Service; (b) your violation of these Terms or applicable law; (c) your infringement of any third-party right; or (d) misuse of your access code. Because NextGenRails™ retains no copy of submitted documents and cannot review their contents, responsibility for submitted content rests solely with you.

12. Eligibility & Acceptance

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, in which case "you" refers to that organization.

13. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and NextGenRails™ regarding the Service and supersede any prior agreements. If any provision is held unenforceable, it will be limited or severed and the remaining provisions remain in effect. You may not assign these Terms without NextGenRails™'s prior written consent; NextGenRails™ may assign them in connection with a merger, acquisition, or sale of assets. Failure to enforce any provision is not a waiver of the right to enforce it later.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes the limited personal data we collect, the third-party providers we use, and your data rights. Documents you submit are processed in memory and discarded under the Zero Retention Policy in Section 3; we retain only limited account and access-code records to operate your purchase. To request deletion of your personal data, contact ngr.admin@proton.me; requests are processed within 30 days.
